Terms & Conditions

This document outlines the terms under which Esther Milanzi, operating as EstyUbuntu LLC ("Designer"), provides visual design services under the Pixel & Presence offering. By submitting an intake form, making a payment, or otherwise engaging Pixel & Presence services, the client ("Client") agrees to these terms in full. Please read carefully — the goal is clarity, not confusion, so we can focus on making something beautiful together.

Scope of Services

Pixel & Presence offers visual design services across the following packages. Each package includes the deliverables listed below and nothing beyond what is specified unless agreed upon in writing.

Any work outside the scope of the agreed package — including additional assets, rounds of revision beyond those included, or platform setup — will be quoted separately and agreed upon in writing before work begins.

Payment Terms

Payment in full is required before work begins. No design work, file creation, or scheduled calls will commence until payment has been received and confirmed.

  • The Pixel ($77) and The Download ($111): Payment in full due at time of booking via PayPal (paypal.me/estyubuntu) or Stripe payment link provided by Designer.
  • The Glow-Up ($555): Payment in full due before the onboarding call.
  • The Whole Vibe ($500/month): First month's payment due before work begins. Subsequent monthly payments are due on the same calendar date each month. Failure to pay within 5 business days of the due date may result in suspension of services for that month.

All prices are listed in US Dollars (USD). International clients are responsible for any currency conversion fees.

Late payments on The Whole Vibe will incur a late fee of 10% of the monthly amount per week overdue. Designer reserves the right to pause delivery of that month's content until payment is received.

Revisions

Each package includes a set number of revision rounds. Revisions must be submitted in a single, consolidated feedback document — not sent piecemeal across multiple messages.

  • The Pixel: 1 round of revisions included.
  • The Download: 2 rounds of revisions included.
  • The Glow-Up: 2 rounds of revisions included across the full month's deliverables.
  • The Whole Vibe: 2 rounds of revisions per monthly content batch.

Additional revision rounds beyond what is included may be requested and will be charged at $55 per round, invoiced separately and due before the additional revisions are delivered.

Revisions are defined as adjustments to the agreed design (copy changes, colour tweaks, layout refinements). A complete change of concept or direction constitutes a new project and will be quoted accordingly.

Cancellations & Refunds

Because Pixel & Presence work is custom and time is allocated upon booking, the following cancellation policy applies:

  • Cancellation before work has begun: A 50% refund will be issued, minus any transaction fees.
  • Cancellation after work has begun: No refund will be issued. Client will receive all completed work to date.
  • The Whole Vibe: The 3-month minimum is a commitment. Cancellation after month 1 has begun will result in the full month's fee being charged. No refund for months where content has been delivered.

If Designer is unable to complete the project due to unforeseen circumstances on Designer's side, a full or partial refund (proportional to work completed) will be issued.

Scheduled calls (alignment calls, onboarding calls, monthly check-ins): Please provide at least 24 hours' notice to reschedule. Cancellations with less than 24 hours' notice may result in forfeiture of that call slot. A no-show without notice will be treated as a used call with no reschedule available.

Ownership & Intellectual Property

Upon receipt of full payment, Client receives full ownership of the final delivered designs. This includes the right to use, publish, modify, and distribute the designs for their business purposes.

  • Designer retains the right to display completed work in her portfolio, on social media, and in marketing materials, unless Client requests otherwise in writing at time of project completion.
  • Any stock elements, fonts, or third-party assets used within Canva are subject to Canva's licensing terms. Designer will use only assets appropriate for commercial use.
  • AI may be used to support elements of the design process. All final deliverables are fully edited, curated, and approved by Designer before delivery.
  • Client warrants that any content, images, logos, or copy they provide to Designer is owned by or licensed to them, and that Designer will not be held liable for any intellectual property disputes arising from Client-supplied materials.

Client Responsibilities

To ensure timely and high-quality delivery, Client agrees to:

  • Provide all required assets, copy, and brand information within 48 hours of being requested.
  • Respond to Designer's questions and feedback requests within 3 business days. Delays in Client response may result in delays to the delivery timeline.
  • Provide consolidated, clear feedback in revision rounds. Vague feedback ("make it pop" without further context) may not be actionable and Designer will use her professional judgment.
  • Ensure that all content, images, and copy provided to Designer is accurate, legally usable, and appropriately licensed.

If a project is stalled for more than 14 days due to lack of Client response, Designer reserves the right to close the project. Reactivation may require a new booking and payment.

Confidentiality

Both parties agree to treat any non-public business information shared during the course of this engagement as confidential. Designer will not share, sell, or disclose Client's business information, content strategy, or unreleased materials to any third party without Client's written consent.

This confidentiality obligation does not apply to information that is: publicly available, independently developed, or required to be disclosed by law.

Client information shared via the intake form or in the course of working together will be stored securely and used solely for the purposes of delivering the agreed services.

Online & Remote Services

All Pixel & Presence services are delivered remotely. Video calls, voice notes, and Loom recordings may be used for briefs, check-ins, and feedback. By participating in video or audio calls, Client consents to the use of those communications for note-taking and design reference purposes.

Designer is not responsible for technical failures on Client's end (internet outages, platform issues, etc.) that result in a missed or disrupted call. Designer will make reasonable efforts to reschedule within the same delivery window where possible.

All final files will be delivered via Canva shared links or Google Drive. Client is responsible for downloading and saving their files. Designer will retain copies of delivered files for 30 days post-delivery.

Limitation of Liability

Designer's total liability to Client for any claim arising out of this agreement shall not exceed the total amount paid by Client for the specific package in question.

Designer is not liable for: indirect or consequential losses, loss of revenue or business opportunity, or any outcomes arising from how Client uses the delivered designs. Design services are creative in nature and results (follower growth, sales, engagement) cannot be guaranteed.

Governing Law

These terms are governed by the laws of the State of Wyoming, USA, where EstyUbuntu LLC is registered. Any disputes arising from this agreement will first be addressed through good-faith discussion between the parties. If resolution cannot be reached, disputes will be handled through binding arbitration in accordance with Wyoming state law.

If any provision of these terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

Amendments

These terms may be updated from time to time. The version in effect at the time of Client's booking and payment will govern that engagement. Designer will notify active clients of any material changes.

Any project-specific agreements that differ from these standard terms must be confirmed in writing by both parties before work begins. Such written agreements supersede the relevant clauses in this document.

Agreement

By submitting the Pixel & Presence intake form, making payment, or otherwise engaging services, Client confirms that they have read, understood, and agree to these Terms & Conditions in full.

These terms constitute the full agreement between Designer and Client for Pixel & Presence services. No verbal agreements will be binding unless confirmed in writing.
